What Happens When You Add a Director Under the Companies Act 2013
Adding a director to an Indian company is more than a board level decision. Section 170 of the Companies Act 2013 requires the appointment to be intimated to the Registrar of Companies in form DIR 12 within thirty days. The new director needs a valid DIN, consent to act in form DIR 2 and a declaration of non disqualification under section 164. Until DIR 12 is filed and the MCA register reflects the change, the new director cannot validly sign any MCA form, sign cheques as an authorised signatory or be named on the company website as a board member.
Eligibility and Pre Conditions for Director Appointment
Before an individual can be appointed as a director, three statutory conditions must be met. First, the proposed director must hold a valid Director Identification Number (DIN). If they do not have one, a fresh DIN application is filed in form DIR 3 along with supporting documents. Second, the proposed director must not be disqualified under section 164 of the Companies Act 2013. This is confirmed through a self declaration on prescribed format. Third, the proposed director must consent to act in writing, captured in form DIR 2.
The Articles of Association of the company may also impose additional eligibility criteria such as minimum shareholding, age limits or professional qualifications. Where applicable, these must be checked before the appointment is proposed at the board.
