What LLP Form 11 Is Under Section 35
Form 11 is the annual return of a Limited Liability Partnership under section 35 of the LLP Act 2008 read with rule 25 of the LLP Rules 2009. The return covers a structured snapshot of the LLP as on the close of the financial year: principal business activity, names and DPINs of all partners and Designated Partners, capital contribution by each partner, changes in partners during the year and details of any compounding offences or penalties.
Form 11 is mandatory for every LLP, regardless of whether the LLP has carried on any business during the year. A dormant LLP with no operating activity still files Form 11 to maintain its active status on the MCA register. The form does not require audited financial statements; audit obligations are separate and tied to Form 8.

What is LLP Form 11?

What is the due date for LLP Form 11?
Thirty May each year, in respect of the financial year ending thirty one March. The window opens on the first of April each year. Most LLPs file in April or May after the partners have reconciled their capital contribution figures.
What is the penalty for late filing of LLP Form 11?
One hundred rupees per day of delay, with no upper limit. The penalty runs daily from the day after the due date until Form 11 is filed. Small LLPs pay a lower penalty under the LLP Amendment Act 2021 relaxations.
Is statutory audit needed before filing Form 11?
No. Form 11 is the annual return and does not require audited accounts. The audit requirement (for LLPs above the turnover or contribution threshold) is linked to Form 8, the Statement of Account and Solvency, filed by thirty October each year.
Who certifies LLP Form 11?
Form 11 is signed by a Designated Partner using Class 3 DSC. For LLPs with a turnover above five crore or contribution above fifty lakh, certification by a Practicing Company Secretary, Chartered Accountant or Cost Accountant is mandatory before filing.
