What ADT 1 Is and When It Is Filed
Form ADT 1 is the intimation to the Registrar of Companies of the appointment of a statutory auditor under section 139 of the Companies Act 2013. Every Pvt Ltd, public limited company, OPC and Section 8 company must have a statutory auditor on roll from year one of incorporation. The audit is mandatory regardless of turnover or scale of operations. The first auditor is appointed by the board within thirty days of incorporation. Subsequent auditors are appointed by shareholders at the AGM for a five year term, with ADT 1 filed within fifteen days of the meeting.
ADT 1 is one of the simplest MCA filings procedurally but carries the most consequential decision. The auditor appointed through ADT 1 sees every contract, every payment and every reserve of the company. The choice of auditor is therefore a governance decision worth taking seriously, even for a small Pvt Ltd that might otherwise treat audit as a checklist item.
